Membership Terms

Last Updated: February 1, 2022**APPLICATION MEMBERSHIP **
Purchasing a single membership subscription ("Membership") provides you with the ability to add one hostel to the Hostel Mate application (the "Application" or the "Hostel Mate App”). With this Membership, you and other hostel staff, whom you choose to give access, will be able to edit certain tab inputs in the Application for this hostel.
BILLING CYCLES AND AUTO-RENWAL
Any Membership recurs on a monthly or annual basis, depending on the subscription plan selected, until the Membership is canceled. Billing occurs at the beginning of the Membership cycle and provides access for one month thereafter or one year thereafter, depending on the subscription plan selected. By purchasing a Membership, you acknowledge that your Membership has recurring payment features and you accept responsibility for all recurring payment obligations prior to cancellation of your Membership by you or Hostel Mate. To change your subscription plan or terminate your Membership, go to your Owner Settings in the Hostel Mate Application or contact Member Support at hostelmate.app@gmail.com
OTHER OFFERS
Hostel Mate may offer additional promotions, discounts, or referral rewards related to Memberships from time to time. Please read the details of those offers carefully, as any additional terms presented to you will form part of these Membership Terms. Unless specified in writing, all discount offers that require a payment are non-refundable. Any free trial or other promotion must be used within the specified time frame of the trial or promotion. You may be required to have a valid payment method on file in order to initiate a free trial; in this case, if you do not cancel before your free trial period ends, your account will be converted to a paid Membership and will be charged in accordance with these Membership Terms. For free trial promotions, if you cancel prior to the end of the specified time frame of the trial, your account will not be converted to a paid Membership and you will not be charged.


Cancellation or Termination of Membership

CANCELLATION OF MEMBERSHIP
If you terminate your Membership, you may use your Membership until the end of the then-current period and your membership will not be automatically renewed after that period expires. However, you will not be eligible for prorated refund of any portion of the Membership fee paid for the then-current Membership period.

SUSPENSION/TERMINATION BY HOSTEL MATE
Hostel Mate may immediately terminate or suspend your account, and all or a portion of your Membership, without notice if:

  • Your payment is overdue (provided that we will use reasonable efforts to notify you of the overdue payment before we terminate or suspend);

  • You provide false or inaccurate information, such as the number of beds at your hostel;

  • You violate these Membership Terms, the Terms of Service or any other Hostel Mate rules or agreements then in effect;

  • You engage in conduct that is a violation of any applicable law or tariff (including, without limitation, copyright and intellectual property laws); or

  • If you engage in conduct that is threatening, abusive or harassing to Hostel Mate employees, agents, or other Hostel Mate users, including, for example, making threats to physically harm or damage property.

If we terminate or suspend your Membership, your license to use any software or content provided in connection with the Membership is also terminated or suspended (as applicable). If your Membership is terminated, Hostel Mate has the right to immediately delete all data, files, and other information stored in or for your account without further notice to you. You must pay all charges up to and including the date of termination. Should you wish to resume your Membership after any suspension, a restoration of service fee may apply. This fee is in addition to all past due unpaid charges and other fees.


Payment

AMOUNT TO BE CHARGED
Membership Holders agree to pay the monthly fee specified when you purchased your Membership (plus any applicable taxes and other charges). If the amount to be charged varies from the amount you pre-authorized (other than due to the imposition of, or change in, applicable sales tax), you have the right to receive, and we will provide, notice of the amount to be charged and the date of the charge before the scheduled date of the transaction, unless applicable law requires you to expressly consent to the change in price. Any agreement you have with your payment provider governs your use of your specified payment method. You agree that we may accumulate charges incurred and submit them as one or more aggregate charges during or at the end of each billing cycle. Your failure to terminate and/or continued use of your Membership reaffirms that we are authorized to charge you for that Membership. We may submit those charges for payment and you will be responsible for such charges. This does not waive our right to seek payment directly from you.
BILLING AUTHORIZATION
You may be asked to provide a payment method (such as a credit, charge or debit card number) that we accept in order to activate your Membership, along with other payment information. You represent and warrant that you have the legal right to use all payment method(s) that you provide to us. Your authorizations in this section also apply to our payment processors. You hereby authorize us to charge your specified payment method on a monthly basis or annual basis in line with your Membership cycle, in advance, for your Membership(s) and/or to place a hold on your payment method with respect to any unpaid charges for your Membership(s). You authorize the issuer of your selected payment method to pay any amounts described herein without requiring a signed receipt, and you agree that these Membership Terms shall be accepted as authorization to the issuer of the payment method to pay any amounts described herein, without requiring a signed receipt from you. You authorize us to continue to attempt to charge and/or place holds with respect to all sums described herein, or any portion thereof, to your payment method until such amounts are paid in full. You agree to provide updated payment information upon request and any time the information you previously provided is no longer valid. You acknowledge and agree that neither Hostel Mate, nor any Hostel Mate agent, will have any liability whatsoever for any insufficient funds or other charges incurred by you as a result of attempts to charge, and/or place holds on, your specified payment method as contemplated by these Membership Terms. If you provide a debit card number instead of a credit card number, you authorize all charges described herein to be applied to such debit card unless and until you provide a credit card number.

THIRD-PARTY PAYMENT PROCESSORS
You agree to pay us, through our payment processor, all charges at the prices then in effect for any purchase in accordance with the applicable payment terms at the time of purchase. You agree to make payment using the payment method you provide when you set up your account. We reserve the right to correct, or to instruct our payment processors to correct, any errors or mistakes, even if payment has already been requested or received.
INQUIRIES AND REFUNDS
If you believe you have been billed in error for a Membership, please notify us within 30 days of the billing date by contacting Member Support at hostelmate.app@gmail.com. Hostel Mate will not issue refunds or credits after the expiration of this 30-day period, except where required by applicable law.

Last Updated: February 1, 2022Thank you for using Hostel Mate!These Terms of Service (“Terms”) are a binding legal agreement between you and Hostel Mate that govern your use of our application (“the Hostel Mate App”, or the “Application”), any services and products we offer through the Application or our website, or any other material that is made available through our Application (the “Content”). When used in these Terms, “Hostel Mate,” “we,” “us,” or “our” refers to Hostel Mate LLC, located at 500 West 30th Street, Apt 20H, New York, NY 10001, United States.Hostel Mate aims to enhance the hostel guest experience by offering our Hostel Mate App, with its many features, to hostel owners, staff, and guests. Hostel owners and staff who purchase a membership subscription to the Hostel Mate App (“Owners”) can add their hostel to the Application. See Membership Terms for additional details about the membership subscription. Owners can enter information, including but not limited to, hostel details, pictures, and recommended activities and events (“Hostel Activities”) into the Application. Among other features, owners and staff can track which guests have signed up for certain Hostel Activities and edit the Hostel Activity sign-up list. Owners can also post messages in the hostel chat room. Visitors, staying at hostel with a membership subscription (“Guests”), can interact with the Application in numerous ways. For example, Guests can sign up for certain activities, and can connect with one another in the hostel chat room. All information entered by the Owners and Guests, including but not limited to the hostel details, Hostel Activities, sign-up lists, and posted messages, is herein referred to as Hostel Content. Users must enter their email address to use the features of the Hostel Mate App. Owners may have to submit additional account information which must be kept accurate at all times. As the provider of the Hostel Mate App, Hostel Mate does not own, control, or manage the Hostel Content. Hostel Mate is not a party to any contracts concluded directly between Owners and Guests. To learn more about Hostel Mate’s role see Section 11.We maintain other terms and policies that supplement these Terms like our Data Protection Notice, which describes our collection and use of personal data, and our Membership Terms, which govern the membership and payment terms for Owners.SECTION 20 OF THESE TERMS CONTAINS AN ARBITRATION AGREEMENT AND CLASS ACTION WAIVER THAT APPLY TO ALL CLAIMS BROUGHT AGAINST HOSTEL MATE. PLEASE READ THEM CAREFULLY.Guest Terms1. Our Mission.
Our mission is to bring people of different cultures and backgrounds together by helping users connect and explore the world together. When you visit a hostel that has subscribed to the Hostel Mate App, the Application will enable you to access that hostel’s details and recommendations, and it will allow you to connect with the other hostel guests.
2. Interacting with the Application.2.1 Selecting Your Hostel. If you are staying at a hostel that has subscribed to the Hostel Mate App, you may download the Application, open the Application, and then select the hostel you are visiting from a drop-down menu. Enter the password (“Hostel Password”) provided to you by the hostel you are visiting. Then, you will be granted access to that hostel specific Hostel Content.2.2 Third-Party Websites included in the Hostel Content. Hostel Content may include website links that, if selected, will redirect you outside of the Hostel Mate App. These third-party links may or may not be owned and operated by the hostel Owner. Hostel Mate is not responsible for this third-party content. Please review the Data Protection Notice for further details regarding Third-Party Websites.2.3 Signing Up for Hostel Activities. The hostel you are staying at may offer and advertise certain Hostel Activities on the Hostel Mate App. At the Owner’s determination you may have an opportunity to sign up for Hostel Activities through the Application. If you choose to sign up for a Hostel Activity, there is no guarantee that your spot will be reserved. Additionally, there is no guarantee that the Hostel Activity will take place or that it will be exactly as advertised in the Application. You are responsible for informing the Owner of any medical or physical conditions, allergies, or other circumstances that may impact your ability to participate or attend a Hostel Activity. The Owner is responsible for the Hostel Content, including details describing the Hostel Activity. Any contract agreed upon between Owners and Guests is not the responsibility of Hostel Mate.2.4. Editing or Canceling an Activity Reservation. You do not have the ability to edit or cancel a Hostel Activity reservation through the Application. Please contact the Owner directly to update your activity reservation.2.5 Hostel Chat. You can post messages in the hostel chat room. These messages will be accessible to other guests staying at the same hostel. After a certain period, these messages will disappear and no longer be accessible. Hostel Mate nor the hostel you are staying at is responsible for the content of the messages posted in the Application. At the Owner’s determination, an Owner may choose to delete a message; additionally, the Owner has the option to block a guest from submitting future messages in that hostel’s chat room. You can click on a message to learn information about the message sender. You are responsible for deciding which, if any, personal information you would like to input into your user profile and make available to the other guests.3. Your Responsibilities and Assumption of Risk.3.1 Your Responsibilities. You are not permitted to share the Hostel Password with people who are not guests currently staying at that hostel unless you are given explicit permission to do so by the Owner. While using the App, you must act with integrity, treat others with respect, and comply with applicable laws at all times.3.2 Your Assumption of Risk. You acknowledge that many activities carry inherent risks and agree that, to the maximum extent permitted by applicable law, you assume the entire risk arising out of your access to and use of the Hostel Mate App and any Content (as defined in Section 9), or any other interaction you have with other users whether in person or online. Additionally, it is your responsibility to investigate a Hostel Activity to determine whether it is suitable for you. For example, Hostel Activities may carry risk of illness, bodily injury, disability, or death, and you freely and willfully assume those risks by choosing to participate in those Hostel Activities.Owner Terms4. Adding Your Hostel to the App and Managing Hostel Content.4.1 Adding Your Hostel as a Purchaser. As a hostel owner or as a member of the hostel staff, who has the permission of the owner, you can purchase a Membership Plan. Please review the Membership Terms for additional information regarding Membership Plans. Whomever purchases the plan (the “Purchaser”) can add the hostel to the Hostel Mate App. The Purchaser is responsible for identifying the hostel staff with permission to enter and edit Hostel Content. The Purchaser will identify these staff members by entering their respective email addresses. This list can be updated in the Application through the Owner Settings, which is only available in the Purchaser’s version of the Application.4.2 Access to Add, Edit, and Manage Hostel Content. As an Owner, you are in control of Hostel Content. Your Hostel Content must include complete and accurate information about your hostel. You are responsible for keeping your Hostel Content up-to-date and accurate at all times.4.3 Access to Delete Chat Room Messages and Block Message Senders. At the Owners discretion, Owners can delete messages posted in the hostel chat room and block specific guests from posting messages in the future. The Owner can unblock a message sender, but this option is only available for a certain period of days after blocking the sender.4.4 Contracting with Guests. Any contracts you make with a Guest are not covered by these Terms and lay outside the responsibilities of Hostel Mate.4.5 Independence of Owners. Your relationship with Hostel Mate is that of an independent individual or entity and not an employee, agent, joint venturer, or partner of Hostel Mate. Hostel Mate does not direct or control the Hostel Content you choose to input in the Application.4.6 Know Your Legal Obligations. You are responsible for understanding and complying with any local laws, rules, and regulations. You are responsible for handling and using personal data of Guests and others in compliance with applicable privacy laws and these Terms. If you have questions about how local laws apply you should always seek legal advice.4.7 Your Responsibilities. You are responsible and liable for your own acts and omissions with regards to the Hostel Mate App.4.8 Your Assumption of Risk. You acknowledge that adding your hostel to the Hostel Mate App carries inherent risks and agree that you assume the entire risk arising out of your access to and use of the App, or any interaction you have with other users whether in person or online. You agree that you have had the opportunity to investigate Hostel Mate and any laws, rules, regulations, or obligations that may be applicable to your Hostel Content and that you are not relying upon any statement of law made by Hostel Mate.5. Hostel Activity or Event Reservation Modifications.Owners are responsible for any modification to any Hostel Activities as well as the consequences of those modifications.General Terms6. Who May Use the Hostel Mate AppWe may, in our sole discretion, refuse to offer the Hostel Mate App to any person or entity and change the eligibility criteria at any time. You are solely responsible for ensuring that these Terms are in compliance with all laws, rules and regulations applicable to you, and the right to access and use Hostel Mate is revoked where these Terms or use of the Hostel Mate App is prohibited or conflicts with any applicable law, rule or regulation. Further, the Application is only for your personal, non-commercial use, and not for the use or benefit of any third party.7. License to Use the Hostel Mate AppSubject to your compliance with these Terms and solely for so long as you are permitted by us to access and use the Hostel Mate App, Hostel Mate grants you a limited, non-transferable, non-exclusive, revocable right and license to access and use the Hostel Mate App. This license includes the right to download the Application, provided you keep intact all copyright and other proprietary notices. This license will remain in effect unless and until you violate these Terms or this license is terminated by you or Hostel Mate.8. Accessing the Application from an App StoreThe following terms apply to any App accessed through or downloaded from any app store or distribution platform (like the Apple App Store or Google Play) where the App may now or in the future be made available (each an “App Provider”). You acknowledge and agree that:• These Terms are between you and Hostel Mate, and not with the App Provider, and Hostel Mate (not the App Provider), is solely responsible for the App.• The App Provider has no obligation to furnish any maintenance and support services with respect to the Application.• In the event of any failure of the Application to conform to any applicable warranty, you may notify the App Provider, and the App Provider will refund the purchase price for the App to you (if applicable) and, to the maximum extent permitted by applicable law, the App Provider will have no other warranty obligation whatsoever with respect to the App. Any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be the sole responsibility of Hostel Mate.• The App Provider is not responsible for addressing any claims you have or any claims of any third party relating to the Application or your possession and use of the Application, including, but not limited to:○ Product liability claims;○ Any claim that the Application fails to conform to any applicable legal or regulatory requirement; and○ Claims arising under consumer protection or similar legislation.• In the event of any third party claim that the Application or your possession and use of that Application infringes that third party’s intellectual property rights, Hostel Mate will be solely responsible for the investigation, defense, settlement and discharge of any such intellectual property infringement claim to the extent required by these Terms.• The App Provider and its affiliates are third-party beneficiaries of these Terms as related to your license to the Application, and that, upon your acceptance of the Terms, the App Provider will have the right (and will be deemed to have accepted the right) to enforce these Terms as related to your license of the Application against you as a third-party beneficiary thereof.• You represent and warrant that○ You are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a terrorist-supporting country;○ You are not listed on any U.S. Government list of prohibited or restricted parties;○ You are not an individual, or associated with an entity, designated under the UK’s Terrorist Asset-Freezing etc. Act 2010 (TAFA 2010); and○ You are not otherwise subject to or affected in any way by any national security or terrorism related rules whether applicable to you personally or to your location or other circumstances.• You must also comply with all applicable third party terms of service when using the Application.9. Content.
You can post Hostel Content (i.e., hostel details, hostel contact information, Hostel Activities, pictures, and messages) in the Application. Additionally, you may submit feedback on your experience with the Hostel Mate App. By providing content, in whatever form and through whatever means, you grant Hostel Mate a non-exclusive, worldwide, royalty-free, irrevocable, perpetual, sub-licensable and transferable license to copy, modify, prepare derivative works of, distribute, publish and otherwise exploit, that Content, without limitation. If Content includes personal information, our Privacy Policy Notice describes how we use that personal information. You are solely responsible for all Content that you provide and warrant that you either own it or are authorized to grant Hostel Mate the rights described in these Terms. You are responsible and liable if any of your Content violates or infringes the intellectual property or privacy rights of any third party. You agree that Hostel Mate may make available services or automated tools to translate Content and that your Content may be translated using such services or tools. Hostel Mate does not guarantee the accuracy or quality of translations and Owners are responsible for confirming the accuracy of such translations.
10. Fees.
Details about our fees are outlined in our Membership Terms.

11. Hostel Mate App Rules.**11.1 Rules. **You must follow these rules and must not help or induce others to break or circumvent these rules.• Act with integrity and treat others with respect
○ Do not lie, misrepresent something or someone, or pretend to be someone else.
○ Be polite and respectful when you communicate or interact with others.
○ Do not discriminate against or harass others.
• Do not scrape, hack, reverse engineer, compromise or impair the Hostel Mate App
○ Do not use bots, crawlers, scrapers, or other automated means to access or collect data or other content from or otherwise interact with the Hostel Mate App.
○ Do not hack, avoid, remove, impair, or otherwise attempt to circumvent any security or technological measure used to protect the Hostel Mate App or Content.
○ Do not decipher, decompile, disassemble, or reverse engineer any of the software or hardware used to provide the Hostel Mate App.
○ Do not take any action that could damage or adversely affect the performance or proper functioning of the Hostel Mate App.
• Only use the Hostel Mate App as authorized by these Terms or another agreement with us
○ Do not use the Hostel Mate App, our messaging tools, or Users’ personal information to send commercial messages without the recipient’s express consent.
○ Do not use Content unless you have permission from the Content owner or the use is authorized by us in these Terms or another agreement you have with us.
○ Do not reserve your spot at an event or activity unless you are actually planning to attend.
○ Do not use, copy, display, mirror or frame the Hostel Mate App, any Content, any Hostel mate branding, or any page layout or design without our consent.
• Honor your legal obligations
○ Understand and follow the laws that apply to you, including privacy, data protection, and export laws.
○ If you provide us with someone else’s personal information, you: (i) must do so in compliance with applicable law, (ii) must be authorized to do so, and (iii) authorize us to process that information under our Privacy Policy Notice.
○ Do not use the name, logo, branding, or trademarks of Hostel Mate or others without permission.
○ Do not use or register any domain name, social media handle, trade name, trademark, branding, logo, or other source identifier that may be confused with Hostel Mate branding.
○ Do not offer hostel activities or events that violate the laws or agreements that apply to you.
11.2 Reporting Violations. If you believe that a User poses an imminent risk of harm to a person or property, you should immediately contact local authorities. In addition, if you believe that a User has violated our Terms you should report your concerns to Hostel Mate. Except as required by applicable law, you agree that we are not obligated to take action in response to any report.11.3 Copyright Notifications. If you believe that Content on the Hostel Mate App infringes copyrights, please notify us.

12. Termination, Suspension, and other Measures.12.1 Term. The agreement between you and Hostel Mate reflected by these Terms is effective when you access Hostel Mate and remains in effect until either you or we terminate the agreement in accordance with these Terms.12.2 Termination. You may terminate this agreement at any time by sending us an email. Hostel Mate may terminate this agreement and your account for any reason by giving you 14 days’ notice via email or using any other contact information you have provided for your account. Hostel Mate may also terminate this agreement immediately and without notice and stop providing access to Hostel Mate if you breach these Terms, you violate our policies, you violate applicable laws, or we reasonably believe termination is necessary to protect Hostel Mate, its Users, or third parties. If your account has been inactive for more than two years, we may terminate your account without prior notice.12.3 User Violations. If (i) you breach these Terms, (ii) you violate applicable laws, regulations, or third-party rights, or (iii) Hostel Mate believes it is reasonably necessary to protect Hostel Mate, its Users, or third parties; Hostel Mate may, with or without prior notice:• suspend or limit your access to or use of Hostel Mate and/or your account;
• suspend or remove Hostel Content; or
• suspend or revoke any special status associated with your account.
For minor violations or where otherwise appropriate as Hostel Mate determines in its sole discretion, you will be given notice of any intended measure by Hostel Mate and an opportunity to resolve the issue. You may appeal actions taken by us under this Section by contacting customer service.12.4 Legal Mandates. Hostel Mate may take any action it determines is reasonably necessary to comply with applicable law, or the order or request of a court, law enforcement, or other administrative agency or governmental body, including the measures described above in Section 9.3.12.5 Account Deletion. If Hostel Mate deletes your account, you may not re-register for or use the Hostel Mate App under any other user name or profile. Hostel Mate may block your access to the Hostel Mate App to prevent re-registration. In the event of account deletion for any reason, Hostel Content may no longer be available and Hostel Mate is not responsible for the deletion or loss of such Hostel Content. For clarity, if you cancel your subscription or it is terminated for any reason, you will lose access to Hostel Mate App features and Hostel Content.12.6 Survival. Parts of these Terms that by their nature survive termination, will survive termination of this agreement.13. Modification of These Terms.
Hostel Mate may modify these Terms at any time. When we make material changes to these Terms, we will post the revised Terms on the Hostel Mate website and update the “Last Updated” date at the top of these Terms. We will also provide you with notice of any material changes by email at least 30 days before the date they become effective. If you disagree with the revised Terms, you may terminate this agreement immediately as provided in these Terms. If you do not terminate your agreement before the date the revised Terms become effective, your continued access to or use of the Hostel Mate App will constitute acceptance of the revised Terms.
14. Hostel Mate’s Role.
While we work hard to ensure our Users have great experiences using Hostel Mate, we do not and cannot control the conduct of Owners and Guests. You acknowledge that Hostel Mate has the right, but does not have any obligation, to monitor the use of the Hostel Mate App. For example, we may review, disable access to, remove, or edit Hostel Content to: (i) operate, secure and improve the Hostel Mate App (including for fraud prevention, risk assessment, investigation and customer support purposes); (ii) ensure Users’ compliance with these Terms; (iii) comply with applicable law or the order or requirement of a court, law enforcement or other administrative agency or governmental body; (iv) address Content that we determine is harmful or objectionable; (v) take actions set out in these Terms; and (vi) maintain and enforce any quality or eligibility criteria, including by removing Hostel Content that doesn’t meet quality and eligibility criteria. Users agree to cooperate with and assist Hostel Mate in good faith, and to provide Hostel Mate with such information and take such actions as may be reasonably requested by Hostel Mate with respect to any investigation undertaken by Hostel mate regarding the use or abuse of the Hostel Mate Application or website. Hostel Mate is not acting as an agent for any User.
15. Member Accounts.
You must log in to the Application with your email address, and you must enter the Hostel Password to use many features of the Hostel Mate App. You represent and warrant that you are in fact the person registered to use the Hostel Mate App and not a person or entity barred from using the Hostel Mate App under the laws of the United States, your place of residence, these Terms or any other applicable jurisdiction.
16. Disclaimer of Warranties.
We provide the Hostel Mate App and all Content “as is” without warranty of any kind and we disclaim all warranties, whether express or implied. For example: (i) we do not endorse or warrant the existence, conduct, performance, safety, quality, legality or suitability of any Guest, Owner, Hostel Activity, or third party; (ii) we do not warrant the performance or non-interruption of the Hostel Mate App; and (iii) we do not warrant that verification, identity or checks conducted on Hostel Content or Users (if any) will identify past misconduct or prevent future misconduct. The disclaimers in these Terms apply to the maximum extent permitted by law. If you have statutory rights or warranties we cannot disclaim, the duration of any such statutorily required rights or warranties, will be limited to the maximum extent permitted by law.
17. Limitations on Liability.
Neither Hostel Mate (including its affiliates and personnel) nor any other party involved in creating, producing, or delivering the Hostel Mate App or any Content will be liable for any incidental, special, exemplary or consequential damages, including lost profits, loss of data or loss of goodwill, service interruption, computer damage or system failure or the cost of substitute products or services, or for any damages for personal or bodily injury or emotional distress arising out of or in connection with (i) these Terms, (ii) the use of or inability to use the Hostel Mate App or any Content, (iii) any communications, interactions or meetings you may have with someone you interact or meet with through, or as a result of, your use of the Hostel Mate App, or (iv) publishing or booking of a Hostel Activity, whether based on warranty, contract, tort (including negligence), product liability or any other legal theory, and whether or not Hostel Mate has been informed of the possibility of such damage, even if a limited remedy set out in these Terms is found to have failed of its essential purpose.
In no event will Hostel Mate’s aggregate liability for any claim or dispute arising out of or in connection with these Terms, your interaction with any users, or your use of or inability to use the Hostel Mate App exceed: (A) to Owners, the amount you paid as an Owner during the 12-month period prior to the event giving rise to the liability, or (B) to anyone else, one hundred U.S. dollars (US$100).These limitations of liability and damages are fundamental elements of the agreement between you and Hostel Mate. If applicable law does not allow the limitations of liability set out in these Terms, the above limitations may not apply to you.18. Indemnification.
To the maximum extent permitted by applicable law, you agree to release, defend (at Hostel Mate’s option), indemnify, and hold Hostel Mate harmless from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with: (i) your breach of these Terms, (ii) your improper use of the Hostel Mate App, (iii) your interaction with any Member, participation in a Hostel Activity, including without limitation any injuries, losses or damages (whether compensatory, direct, incidental, consequential or otherwise) of any kind arising in connection with or as a result of such interaction, participation or use, or (iv) your breach of any laws, regulations or third party rights such as intellectual property or privacy rights.
19. United States Governing Law and Venue.
If you reside or have your place of establishment in the United States, these Terms will be interpreted in accordance with the laws of the State of New York and the United States of America, without regard to conflict-of-law provisions. Judicial proceedings (other than small claims actions) that are excluded from the arbitration agreement in Section 17 must be brought in state or federal court in New York, New York, unless we both agree to some other location. You and we both consent to venue and personal jurisdiction in New York, New York.

20. United States Dispute Resolution and Arbitration Agreement.20.1 Application. This Arbitration Agreement only applies to you if your country of residence or establishment is the United States. If your country of residence or establishment is not the United States, and you nevertheless attempt to bring any legal claim against Hostel Mate in the United States, this Arbitration Agreement will apply for determination of the threshold issue of whether this Section 20 applies to you, and all other threshold determinations, including residency, arbitrability, venue, and applicable law.20.2 Overview of Dispute Resolution Process. Hostel Mate is committed to participating in a consumer-friendly dispute resolution process. To that end, these Terms provide for a two-part process for individuals to whom this Section 20 applies: (1) an informal negotiation directly with Hostel Mate’s customer service team (described in paragraph 20.3, below), and if necessary (2) a binding arbitration administered by the American Arbitration Association (“AAA”). You and Hostel Mate each retain the right to seek relief in small claims court as an alternative to arbitration.20.3 Mandatory Pre-Arbitration Dispute Resolution and Notification. At least 30 days prior to initiating an arbitration, you and Hostel Mate each agree to notify the other party of the dispute in writing and attempt in good faith to negotiate an informal resolution. You must send your notice of dispute to Hostel Mate by mailing it to Hostel Mate’s mailing address. Hostel Mate will send its notice of dispute to the email address associated with your Hostel Mate account. A notice of dispute must include: the party’s name and preferred contact information, a brief description of the dispute, and the relief sought. If the parties are unable to resolve the dispute within the 30-day period, only then may either party commence arbitration by filing a written Demand for Arbitration (available at www.adr.org) with the AAA and providing a copy to the other party as specified in the AAA Rules (available at www.adr.org).20.4 Agreement to Arbitrate. You and Hostel Mate mutually agree that any dispute, claim or controversy arising out of or relating to these Terms or the applicability, breach, termination, validity, enforcement or interpretation thereof, or any use of the Hostel Mate App or any Content (collectively, “Disputes”) will be settled by binding individual arbitration (the “Arbitration Agreement”). If there is a dispute about whether this Arbitration Agreement can be enforced or applies to our Dispute, you and Hostel Mate agree that the arbitrator will decide that issue.20.5 Exceptions to Arbitration Agreement. You and Hostel Mate each agree that the following causes of action and/or claims for relief are exceptions to the Arbitration Agreement and will be brought in a judicial proceeding in a court of competent jurisdiction (as defined by Section 20): (i) any claim or cause of action alleging actual or threatened infringement, misappropriation or violation of a party’s copyrights, trademarks, trade secrets, patents, or other intellectual property rights; (ii) any claim or cause of action seeking emergency injunctive relief based on exigent circumstances (e.g., imminent danger or commission of a crime, hacking, cyber-attack); or (iii) a request for the remedy of public injunctive relief. You and Hostel Mate agree that the remedy of public injunctive relief will proceed after the arbitration of all arbitrable claims, remedies, or causes of action, and will be stayed pending the outcome of the arbitration pursuant to section 3 of the Federal Arbitration Act.20.6 Arbitration Rules and Governing Law. This Arbitration Agreement evidences a transaction in interstate commerce and the Federal Arbitration Act governs all substantive and procedural interpretation and enforcement of this provision. The arbitration will be administered by AAA in accordance with the Consumer Arbitration Rules and/or other AAA arbitration rules determined to be applicable by the AAA (the “AAA Rules“) then in effect, except as modified here. The AAA Rules are available at www.adr.org. In order to initiate arbitration, a completed written demand (available at www.adr.org) must be filed with the AAA and provided to the other party, as specified in the AAA rules.20.7 Modification to AAA Rules - Arbitration Hearing/Location. In order to make the arbitration most convenient to you, Hostel Mate agrees that any required arbitration hearing may be conducted, at your option: (a) in the U.S. county where you reside; (b) in New York City; (c) via phone or video conference; or (d) if all parties agree, by solely the submission of documents to the arbitrator.20.8 Modification of AAA Rules - Attorney’s Fees and Costs. Your arbitration fees and your share of arbitrator compensation shall be governed by the AAA Rules and, where appropriate, limited by the AAA Consumer Rules. If such costs are determined by the arbitrator to be excessive, Hostel Mate will pay all arbitration fees and expenses. Either party may make a request that the arbitrator award attorneys’ fees and costs upon proving that the other party has asserted a claim, cross-claim or defense that is groundless in fact or law, brought in bad faith or for the purpose of harassment, or is otherwise frivolous, as allowed by applicable law and the AAA Rules.20.9 Arbitrator’s Decision. The arbitrator’s decision will include the essential findings and conclusions upon which the arbitrator based the award. Judgment on the arbitration award may be entered in any court with proper jurisdiction. The arbitrator may award any relief allowed by law or the AAA Rules, but declaratory or injunctive relief may be awarded only on an individual basis and only to the extent necessary to provide relief warranted by the claimant’s individual claim.20.10 Jury Trial Waiver. You and Hostel Mate acknowledge and agree that we are each waiving the right to a trial by jury as to all arbitrable Disputes.20.11 No Class Actions or Representative Proceedings. You and Hostel Mate acknowledge and agree that, to the fullest extent permitted by law, we are each waiving the right to participate as a plaintiff or class member in any purported class action lawsuit, class-wide arbitration, private attorney general action, or any other representative or consolidated proceeding. Unless we agree in writing, the arbitrator may not consolidate more than one party’s claims and may not otherwise preside over any form of any class or representative proceeding. If there is a final judicial determination that applicable law precludes enforcement of the waiver contained in this paragraph as to any claim, cause of action or requested remedy, then that claim, cause of action or requested remedy, and only that claim, cause of action or requested remedy, will be severed from this agreement to arbitrate and will be brought in a court of competent jurisdiction. In the event that a claim, cause of action or requested remedy is severed pursuant to this paragraph, then you and we agree that the claims, causes of action or requested remedies that are not subject to arbitration will be stayed until all arbitrable claims, causes of action and requested remedies are resolved by the arbitrator.20.12 Severability. Except as provided in Section 20.11, in the event that any portion of these Terms are deemed illegal or unenforceable, such provision will be severed and the remainder of these Terms will be given full force and effect.20.13 Changes to Agreement to Arbitrate. If Hostel Mate changes this Section 21 after the date you last accepted these Terms (or accepted any subsequent changes to these Terms), you may reject that change by sending us written notice (including by email) within 30 days of the date the change is effective. Rejecting a new change, however, does not revoke or alter your prior consent to any earlier agreements to arbitrate any Dispute between you and Hostel Mate (or your prior consent to any subsequent changes thereto), which will remain in effect and enforceable as to any Dispute between you and Hostel Mate.20.14 Survival. Except as provided in Section 20.12 and subject to Section 12.6, this Section 20 will survive any termination of these Terms and will continue to apply even if you stop using the Hostel Mate App or terminate your Hostel Mate account.21. Rest of World Dispute Resolution, Venue and Forum, and Governing Law.
If you reside or have your place of establishment outside of the United States, this Section applies to you and these Terms will be interpreted in accordance with New York State law. The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded.
22. Miscellaneous.22.1 Other Terms Incorporated by Reference. Our Data Privacy Notice and Membership Terms and other supplemental policies and terms linked to in these Terms apply to your use of the Hostel Mate App, are incorporated by reference, and form part of your agreement with Hostel Mate.22.2 Interpreting these Terms. Except as they may be supplemented by additional terms, conditions, policies, guidelines, standards, and in-product disclosures, these Terms (including those items incorporated by reference) constitute the entire agreement between Hostel Mate and you pertaining to your access to or use of the Hostel Mate App or website and supersede any and all prior oral or written understandings or agreements between Hostel Mate and you. These Terms do not and are not intended to confer any rights or remedies upon anyone other than you and Hostel Mate. If any provision of these Terms is held to be invalid or unenforceable, except as otherwise indicated in Section 21.11 above, such provision will be struck and will not affect the validity and enforceability of the remaining provisions. Where the word “will” is used in these Terms it connotes an obligation with the same meaning as “shall.”22.3 No Waiver. Hostel Mate’s failure to enforce any right or provision in these Terms will not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing. Except as expressly set forth in these Terms, the exercise by either party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise permitted under law.22.4 Assignment. You may not assign, transfer or delegate this agreement or your rights and obligations hereunder without Hostel Mate’s prior written consent. Hostel Mate may without restriction assign, transfer or delegate this agreement and any rights and obligations hereunder, at its sole discretion, with 30 days’ prior notice.22.5 Notice. Unless specified otherwise, any notices or other communications to Users permitted or required under this agreement, will be provided electronically and given by Hostel Mate via email or any other contact method we enable and you provide.22.6 Third-Party Services. The Hostel Mate App and our website may contain links to third-party websites, applications, services or resources (“Third-Party Services”) that are subject to different terms and privacy practices. Hostel Mate is not responsible or liable for any aspect of such Third-Party Services and links to such Third-Party Services are not an endorsement.22.7 Apple Terms. If you access or download our application from the Apple App Store, you agree to Apple’s Licensed Application End User License Agreement.22.8 Force Majeure. Hostel Mate shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, epidemics or disease, strikes or shortages of transportation facilities, fuel, energy, labor or materials.22.9 Emails and Communications. You will receive administrative communications from us using the email address or other contact information you provide for your Hostel Mate account. You may also receive promotional emails from us. No fee is charged for these promotional emails, but third-party data rates could apply.22.10 Contact Us. We may collect certain information about you via the Application. The information we may collect depends on the content and materials you use, and includes:

PERSONAL DATA
Demographic and other personally identifiable information (such as your name and email address) that you voluntarily give to us when choosing to participate in various activities related to the Application, such as logging into the Application, posting messages in the Hostel Chat or in our forums, liking posts, sending feedback, and completing forms with the Application. If you choose to share data about yourself via your user profile, the chat, or other interactive areas of the Application, please be advised that all data you disclose in these areas is public and your data will be accessible to anyone who accesses the Application.

DERIVATIVE DATA
Information the servers automatically collect when you access the Application, such as your native actions that are integral to the Application, including liking, re-blogging, or replying to a post, as well as other interactions with the Application and other users via server log files.

FINANCIAL DATA
All financial information is stored by our payment processor, Stripe, and you are encouraged to review their privacy policy and contact them directly for responses to your questions.

GEO-LOCATION INFORMATION
Certain third-party applications, within the Application, such as Google Maps and Apple Maps, may use your location detail, if you choose to provide permission to these applications.

MOBILE DEVICE DATA
Device information such as your mobile device ID number, model, and manufacturer, version of your operating system, phone number, country, location, and any other data you choose to provide.

PUSH NOTIFICATIONS
In the future, we may request to send you push notifications regarding your account or the Application. If you wish to opt-out from receiving these types of communications, you may turn them off in your device’s settings.

When you post comments, contributions or other content to the Applications, your posts may be viewed by all users and may be publicly distributed outside the Application in perpetuity.

OTHER THIRD PARTIES
We may share your information with advertisers and investors for the purpose of conducting general business analysis. We may also share your information with such third parties for marketing purposes, as permitted by law.

SALE OR BANKRUPTCY
If we reorganize or sell all or a portion of our assets, undergo a merger, or are acquired by another entity, we may transfer your information to the successor entity. If we go out of business or enter bankruptcy, your information would be an asset transferred or acquired by a third party. You acknowledge that such transfers may occur and that the transferee may decline honor commitments we made in this Data Protection Notice.
